Removing or changing our copyright notices, logos, protection notices or other marks from any of the content available on the Platform and using the Platform for own commercial purposes in any manner whatsoever.
Any content downloaded or otherwise obtained through the use of the Platform is downloaded at own risk and the user will be solely responsible for any damage to his computer system or mobile device or for loss of data that results from such download or use of the Platform.
REPRESENTATIONS & WARRANTIES
user will not use any deep-link, robot, spider or other automatic device or methodology, or any similar or equivalent manual process, to access, acquire, download, copy or monitor the Platform or any part thereof, or obtain any content through means not specifically made available through the Platform
All User Content and all elements thereof are original works and have all rights necessary to post such User Content on the Platform;
Users will not engage with any activity that interferes with or disrupts the access to, or security of, the Platform.
User will not collect or store data about other Users, or attempt to obtain the User Content of other Users.
Users will not undertake any activity that imposes or may impose an unreasonable or disproportionately large load on the system infrastructure of the Platform and the user will not breach these terms or violate any provisions of applicable law.
INDEMNITIES
User will indemnify, defend and hold us harmless from and against any losses, damages, settlements, liabilities, costs, charges, assessments and expenses, as well as third party claims and causes of action, including, without limitation, attorneysтАЩ fees, arising out of breach by user of any of the provisions of these Terms.
Any use by the user of the Platform that violates any third-party rights, including third party intellectual property rights or rights arising out of confidentiality obligations and
any breach by the user of applicable law.
User will provide us with such assistance, without charge, as we may request in connection with any such defense including, without limitation, providing us with such information, documents, records and reasonable access to the user, as we deem necessary.
DISCLAIMERS AND WARRANTIES
To the maximum extent permitted by provisions of applicable law, the Platform is provided without warranties of any kind, whether express or implied, and Citi Update hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.
The contents available on the Platform are provided as-is. Citi Update does not warrant or make any representations concerning the accuracy or reliability of the contents of the Platform. Consequently, we assume no liability whatsoever for any monetary or other damage suffered by the user on account of the delay, failure, interruption, or corruption of any data or other information transmitted in connection with the Platform; and/or any interruption or errors in the operation of the Platform.
Citi update specifically disclaims warranties pertaining to the following.
The content on the Platform is accurate, reliable, complete, current or correct, and that such content does not include any technical, typographical, or photographic errors.
The Platform will meet user requirements.
The Platform will be available at any particular time or location, uninterrupted or secure.
Any defects or errors in the Platform will be corrected or the Platform is free of viruses or other harmful components.
In no event shall we be liable for any direct, indirect, punitive, incidental, special or consequential damages or any other damages resulting from the use or the inability to use the Platform, unauthorized access to or alteration of the User's transmissions or data, any other matter relating to the Platform including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the Platform.
We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Platform. Citi update will not be a party to or in any way monitor any transaction between the user and third-party providers of products or services.
TERMINATION
We may terminate or suspend access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if the user breaches these Terms.
In addition to termination rights, we reserve the right to enforce and prosecute any violations of these Terms.
We may suspend access to the Platform or take such other action as may be required if we reasonably believe that the Platform has been or is likely to be misused.
All provisions of these Terms which by their nature should survive termination shall survive termination.
GENERAL PROVISIONS
Governing Law and Jurisdiction: These Terms shall be governed by the laws of India. India has exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms (including any disputes regarding the existence, validity or termination of these Terms).
Dispute Resolution: If any dispute, controversy or claim arises under, out of, or in relation to these Terms, including any dispute concerning the formation, construction, interpretation, or breach of these Terms or any partyтАЩs performance of its obligations under it, such dispute shall at the first instance be attempted to be resolved through mutual good faith consultations. If the dispute is not resolved in this manner within Ninety(90) days of either party sending a notice to the other party of such dispute, then the dispute shall be resolved by binding arbitration under the provisions of the Arbitration & Conciliation Act 1996, India. The sole arbitrator will be appointed by Citi update.
Severability:- If any provision of these Terms is prohibited or unenforceable in any jurisdiction, such prohibition or unenforceability shall not invalidate the remaining provisions hereof or affect the validity or enforceability of such provision in any other jurisdiction. Such provisions shall to that extent be deemed not to form part of these Terms, and the validity and enforceability of the remainder of these Terms shall remain unaffected.
Assignment:- These Terms and rights and obligations under these Terms may not be assigned, delegated, or otherwise transferred, in whole or in part, by the user, under any circumstances. Citi update may assign these Terms or any of its rights under these Terms to any third party without consent.
Notices: - Citi update may give any notice required by these Terms by means of a general notice or pop-up notification on the Platform. Such notice shall be deemed to have been given immediately upon being dispatched by Citi update. User may give notice to Citi update, by way of e-mail.

Remedies and Rights: All remedies, either under these Terms or under provisions of applicable law or otherwise shall be cumulative and not alternative. Unless expressly provided to the contrary within these Terms, the rights of any party expressed under these Terms for damages or otherwise for breach by the other party are without limitation to any other rights or remedies of the first-mentioned party including rights to injunction, specific relief, restitution or other equitable relief, none of which rights or remedies shall be affected or diminished thereby.
Waiver: - No delay to exercise any right, power or remedy accruing to any party, upon any breach of default of any party under these Terms, shall impair any such right, power or remedy of any party nor shall it be construed to be a waiver of any such breach or default or an acquiescence therein, or of any similar breach or default thereafter occurring. Any waiver, permit, consent or approval of any kind or character on the part of either party, of any provisions or conditions under these Terms, must be in writing and shall be effective only to the extent specifically set forth in such writing.
Modifications to Platform: - We reserve the right at any time to modify or discontinue the Platform, temporarily or permanently, with or without notice. User agrees that we shall not, under any circumstances, be liable to User or to any third party for any modification, suspension or discontinuance of the Platform.
No Agency: - anything in these Terms shall be construed as making either Citi update or user the partner, joint venture, agent, legal representative, employer or employee of the other. User will not hold out to any third party as having any authority to make any statements, representations or commitments of any kind, or to take any action that shall be binding on Citi update, except as provided for herein or authorized in writing by Citi update.
